NotaryOT Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Atanium Corporation, a Wyoming corporation doing business as NotaryOT (“NotaryOT,” “Atanium,” “we,” “us,” or “our”).

These Terms govern your access to and use of NotaryOT.com, our applications, public notary directory, booking and coordination services, memberships, educational content, remote or online notary coordination where available, and other products and services we make available through them (collectively, the “Services”).

By accessing or using the Services, creating an account, purchasing a membership, claiming a profile, or booking a Notary through NotaryOT, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

You must be at least 18 years old to create an account, purchase a membership, or book a notarial service through NotaryOT.

IMPORTANT THINGS TO KNOW

This summary is provided for convenience only. The complete Terms below control.

  • NotaryOT coordinates; commissioned Notaries perform. NotaryOT is not itself a

notary public and does not make the final decision whether a notarial act may lawfully be performed.

  • You see your booking price before you authorize payment. Applicable notarial-act

fees, travel/mobile charges, NotaryOT service fees, and other consumer charges are separately identified where applicable.

  • Participating Notaries may separately pay NotaryOT a provider-side marketplace

fee. That business-to-business fee does not increase the statutory notarial-act fee shown to you.

  • NotaryOT may charge both a consumer service fee and a separate provider

marketplace fee on an ordinary eligible booking. Those are different charges owed by different parties.

  • Potentially covered mortgage or settlement-service bookings are treated

differently. Referral rewards do not apply, and under NotaryOT's current launch policy the ordinary provider percentage commission and ordinary NotaryOT consumer service fee are suppressed for bookings classified as potentially covered federally related mortgage settlement-service transactions.

  • Automatically renewing Notary memberships can be canceled online.
  • NotaryOT promotional service credits currently do not expire and are never

applied against the statutory notarial-act fee.

  • NotaryOT does not provide legal advice and does not guarantee that a particular

document or notarization will be accepted by every recipient.

  • Government-source directory information and Notary-submitted claimed-profile

information are treated as different data sources.

  • A Notary may lawfully refuse a requested act. NotaryOT will not require a Notary to

perform an act the Notary determines should be refused.

1. NOTARYOT COORDINATES; NOTARIES PERFORM

This is the most important distinction in these Terms.

NotaryOT is a marketplace and coordination platform. NotaryOT is not a notary public and does not itself perform notarial acts.

Notarial acts are performed by separate, state-commissioned notary service providers (“Notaries”).

Each Notary is independently responsible for determining whether and how a requested notarial act may lawfully be performed and for complying with the law governing that notarial act.

NotaryOT may:

  • operate the marketplace and public directory;
  • provide search, discovery, and profile pages;
  • coordinate booking and scheduling;
  • facilitate communications between you and a Notary;
  • facilitate payment;
  • provide platform and customer support;
  • ask screening or eligibility questions before an appointment;
  • provide general informational or operational guidance; and
  • facilitate access to online or remote notarization services where legally available.

The Notary—not NotaryOT—determines:

  • whether the requested notarial act may lawfully be performed;
  • whether satisfactory evidence of identity has been presented;
  • whether applicable personal-appearance requirements are satisfied;
  • whether a signer satisfies applicable willingness, awareness, competency, or

other legal requirements;

  • which lawful notarial acts the Notary is willing and authorized to perform;
  • whether the Notary must or should refuse the requested act;
  • how a notarial certificate is completed;
  • whether and how a journal entry is made;
  • custody, maintenance, and lawful use of the Notary's journal and seal; and
  • whether all requirements of the Notary's commissioning jurisdiction have been

satisfied.

A Notary may lawfully decline or refuse a requested act.

NotaryOT will not direct a Notary to perform an act that the Notary has determined should be refused.

NotaryOT is not a law firm and does not practice law or provide legal advice.

Information made available through the Services—including document descriptions, preparation checklists, notary-law information, fee information, educational materials, screening questions, and customer-support communications—is provided for general informational or operational purposes only.

Neither NotaryOT nor a Notary acting solely in the Notary's notarial capacity may advise you regarding:

  • which document you should use;
  • which legal transaction you should undertake;
  • which notarial certificate your document requires where selecting it would

constitute legal advice;

  • whether a document is legally sufficient;
  • whether a transaction is legally advisable;
  • how a legal document should be drafted;
  • the legal effect of a document or transaction; or
  • whether a document will accomplish your intended legal result.

If you require legal advice, consult a licensed attorney.

You may be able to use certain Services as a guest or through a NotaryOT account.

Where account access uses one-time codes, passwordless authentication, or secure links, you are responsible for maintaining control of the email account or other authentication method associated with your NotaryOT account.

You must provide accurate and current information when using the Services.

After a booking is created, NotaryOT may provide a unique link through which booking information can be viewed or managed.

Anyone who obtains that link may be able to view information associated with the booking.

Protect booking links as you would protect a receipt or account communication containing personal information.

An action that creates or increases a charge, changes a payment method, materially modifies payment obligations, or otherwise materially affects payment must be authenticated through the account or email address associated with the booking where NotaryOT's applicable workflow requires such authentication.

4. BOOKING, PRICES, MARKETPLACE FEES, AND PAYMENT

4.1 Quotes and Price Presentation

Before you complete a paid booking, NotaryOT will display the total price then applicable to the booking.

Where NotaryOT displays a bookable total price, that total includes all mandatory NotaryOT consumer charges applicable to the booking that are known at that time.

Where applicable, the total may be itemized into components including:

  • the notarial-act fee, charged for the commissioned Notary's notarial act and

subject to applicable law;

  • the travel or mobile-service fee, representing a separately agreed charge

associated with mobile service or travel;

  • an after-hours or similar service charge, where applicable and disclosed;
  • the NotaryOT service fee, representing NotaryOT's consumer-facing platform and

coordination charge;

  • another lawful separately disclosed consumer charge, if applicable; and
  • any eligible promotional credit applied to the transaction.

California and other jurisdictions may limit the fees a Notary may charge for specified notarial acts.

Mobile, travel, platform, and other separately disclosed service charges are distinct from the statutory notarial-act fee.

Where NotaryOT does not yet have sufficient information to calculate a final booking price, we may ask you to obtain a quote rather than display a partial amount as though it were the final total.

Except for:

  • a change requested by you;
  • an adjustment you affirmatively authorize; or
  • a charge expressly permitted under these Terms and disclosed before

authorization,

the quoted booking price will not be increased after you complete the booking.

4.2 Provider Compensation and Marketplace Fees

The fee shown for a notarial act is the charge attributable to the commissioned Notary's performance of that act and remains subject to applicable legal limits.

Where NotaryOT collects that amount through the platform, NotaryOT facilitates settlement of the applicable provider compensation.

NotaryOT may separately charge participating Notaries a provider-side marketplace fee for bookings arranged through the platform.

That provider-side marketplace fee:

  • is governed by the applicable Notary Provider Agreement;
  • is a contractual charge between NotaryOT and the participating Notary;
  • does not increase the statutory notarial-act fee charged to you;
  • is not itself an additional notarial fee charged to you; and
  • generally does not appear as a separate consumer charge on your receipt

because it is part of the provider's business relationship with NotaryOT.

NotaryOT's consumer-facing service fee, where applicable, is separately disclosed.

For ordinary eligible bookings, NotaryOT may therefore receive compensation from both:

  1. a separately disclosed consumer service fee; and
  2. a separately contracted provider-side marketplace fee.

Those charges are separate obligations of separate parties.

4.3 Settlement-Service Booking Treatment

NotaryOT applies special rules to bookings that it classifies as potentially covered settlement-service transactions involving a federally related mortgage loan.

Examples may include:

  • mortgage loan signings;
  • purchase-money mortgage closings;
  • mortgage refinances;
  • home equity lines of credit;
  • escrow closings;
  • title closings;
  • deed-of-trust loan closings; and
  • other potentially covered mortgage settlement-service transactions.

Under NotaryOT's current launch policy:

  • referral rewards do not apply to those bookings;
  • NotaryOT does not charge the participating Notary its ordinary percentage

marketplace commission on those bookings; and

  • NotaryOT suppresses its ordinary consumer-facing service fee on those

bookings.

You remain responsible for the lawful provider compensation and other amounts specifically disclosed for the booking.

NotaryOT may adopt a different compensation structure for settlement-service bookings in the future if that structure is separately determined to be lawful and is properly disclosed before it applies.

4.4 Payment Authorization

Before dispatch or performance of a service, NotaryOT may place a temporary authorization on your payment method.

By providing a payment method and confirming a booking, you authorize NotaryOT and its payment processor to authorize and charge that payment method for amounts you have agreed to pay under the booking and these Terms.

For a completed booking, the eligible final charge is generally captured after completion.

For a cancellation, no-show, or other event covered by Section 5, the amount permitted under the applicable disclosed policy may instead be charged.

If an appointment is scheduled beyond the period during which a payment authorization would remain valid, NotaryOT may securely retain a payment-method reference through its payment processor and obtain a new authorization closer to the appointment rather than relying on an expired authorization.

If required payment authorization cannot be obtained, NotaryOT may decline to dispatch a Notary or may cancel or suspend the booking until payment is arranged.

4.5 Payment Processing

Payments are processed through third-party payment processors, including Stripe.

Payment-card information is handled by the applicable payment processor.

NotaryOT does not store your full payment-card number.

Our payment processor may also facilitate settlement or payout of provider compensation.

Your use of payment functionality may also be subject to the applicable processor's terms and privacy practices.

5. CANCELLATIONS, NO-SHOWS, AND RESCHEDULING

NotaryOT's cancellation and no-show charges are intended to compensate for reserved appointment capacity, lost availability, coordination and dispatch activity, mobilization, and travel—not to punish cancellation.

Applicable charges are disclosed before payment authorization and repeated in the applicable booking confirmation.

5.1 Cancellation More Than 24 Hours Before the Appointment

If you cancel more than 24 hours before the scheduled appointment:

No cancellation fee is charged.

5.2 Cancellation Less Than 24 Hours Before the Appointment

If you cancel less than 24 hours before the scheduled appointment, NotaryOT may charge:

50% of the previously agreed travel/mobile fee, plus the applicable NotaryOT consumer service fee, if any.

No statutory notarial-act fee is charged where no notarial act was performed.

If the booking is one for which the ordinary NotaryOT consumer service fee was suppressed, no such service fee will be added merely because the booking is canceled.

5.3 Consumer No-Show

If the Notary arrives at the agreed location and you or the required signer is not available to proceed, NotaryOT may charge:

the full previously agreed travel/mobile fee.

No statutory notarial-act fee is charged where no notarial act was performed.

5.4 Notary No-Show

If the assigned Notary does not appear for the scheduled appointment and NotaryOT does not provide the agreed service:

  • applicable booking charges will be released or refunded; and
  • NotaryOT may issue a $10 NotaryOT service-recovery credit.

5.5 Rescheduling

NotaryOT will attempt to accommodate reasonable rescheduling requests where a Notary is available.

A request made within 24 hours of the appointment may be treated as a late cancellation and new booking if the original appointment capacity cannot reasonably be reassigned or the assigned Notary has already mobilized.

6. NOTARYOT SERVICE GUARANTEE

NotaryOT coordinates access to commissioned Notaries; NotaryOT does not itself perform notarizations and does not provide legal advice.

If a completed NotaryOT booking requires correction because of a covered notarial execution or service error relating to a condition NotaryOT expressly screened for before dispatch, NotaryOT will arrange one corrective service at no additional charge.

If a receiving institution rejects the completed notarization because of such a covered error and a corrective service cannot reasonably resolve the issue, NotaryOT will refund

amounts paid for the affected booking upon reasonable proof of rejection, up to the total amount paid for that booking.

The NotaryOT Service Guarantee does not cover rejection or failure resulting from:

  • the contents or legal sufficiency of a document;
  • use of an incorrect document;
  • the receiving institution's independent policy where that policy is unrelated to a

covered notarial error;

  • a signer's inability to satisfy lawful identification requirements;
  • a signer's inability to satisfy willingness, awareness, competency,

personal-appearance, or other applicable requirements;

  • changed facts, documents, instructions, or circumstances after the booking was

screened;

  • a request for an act that the Notary lawfully refuses to perform;
  • the consumer's failure to provide required information or documents; or
  • circumstances outside the reasonable control of NotaryOT or the commissioned

Notary.

NotaryOT does not guarantee that a document is:

  • legally valid;
  • legally sufficient;
  • appropriate for a particular transaction;
  • eligible for notarization; or
  • acceptable to every person, institution, recorder, court, government agency,

financial institution, title company, lender, or other recipient.

Nothing in the NotaryOT Service Guarantee limits any right or remedy that applicable law does not permit to be waived.

7. PROMOTIONAL AND SERVICE CREDITS

NotaryOT may issue:

  • promotional credits;
  • referral rewards;
  • customer-service credits;
  • service-recovery credits; or
  • other promotional value.

Unless expressly stated otherwise when a credit is issued, a NotaryOT service credit:

  • does not expire;
  • is nontransferable;
  • cannot be purchased or reloaded with money;
  • is not a deposit account;
  • is not represented as cash or a cash-equivalent deposit;
  • is not redeemable for cash except where applicable law affirmatively requires

redemption;

  • may be used only toward eligible NotaryOT transactions;
  • may be applied only to eligible travel/mobile charges and NotaryOT platform or

service charges; and

  • will not be applied against the statutory notarial-act fee.

NotaryOT may establish eligibility restrictions for a particular promotional program.

NotaryOT may modify or discontinue a promotional program prospectively.

Credits already validly issued remain subject to the terms applicable when they were issued unless applicable law requires otherwise.

8. REFERRAL PROGRAM

Where NotaryOT operates a referral program, the applicable promotional terms will describe:

  • the reward;
  • who is eligible;
  • the qualifying event;
  • any restrictions; and
  • when the reward becomes available.

A referral reward is not earned until the qualifying event described in the applicable promotion occurs.

8.1 Settlement-Service Exclusion

Referral rewards are not earned or redeemable in connection with a booking that is, or is reasonably connected with, a potentially covered federally related mortgage or settlement-service transaction.

Without limitation, this exclusion may apply to:

  • mortgage loan signings;
  • purchase-money mortgages;
  • mortgage refinances;
  • home equity lines of credit;
  • escrow closings;
  • title closings;
  • deed-of-trust loan closings; and
  • other potentially covered federally related mortgage settlement-service

transactions.

A referred person may still use NotaryOT for such a transaction.

The transaction simply does not qualify for referral-program compensation or use of referral-derived credit.

A service-recovery credit issued because a Notary failed to appear is not compensation for referring settlement-service business and is not treated as a referral reward under this Section.

9. PAID NOTARY MEMBERSHIPS

NotaryOT may offer optional paid memberships intended for Notaries and other professional users.

Membership prices, features, billing periods, automatic-renewal terms, cancellation instructions, and other material terms are displayed before purchase.

Purchasing a membership does not guarantee:

  • consumer leads;
  • bookings;
  • revenue;
  • ranking;
  • marketplace dispatches; or
  • any particular business result.

9.1 Automatic Renewal

Unless expressly sold as nonrenewing, a paid membership renews automatically until canceled.

Before you subscribe, NotaryOT will disclose:

  • membership price;
  • billing frequency;
  • renewal period;
  • automatic-renewal terms;
  • cancellation method;
  • applicable refund policy; and
  • other material subscription terms.

You must affirmatively agree to the recurring-payment terms before purchasing an automatically renewing membership.

NotaryOT will not intentionally initiate an automatically renewing membership without presenting the applicable recurring-payment disclosures and obtaining the affirmative consent required by this Section.

  • account or subscriber identifier;
  • selected membership;
  • price;
  • billing period;
  • disclosure version;
  • consent timestamp; and
  • affirmative-consent event.

Such records may be retained for the period required by applicable law and for legitimate transaction, dispute, fraud-prevention, and recordkeeping purposes.

9.3 Post-Purchase Acknowledgment

After purchase, NotaryOT will provide a retainable electronic acknowledgment that contains or provides access to the material membership terms, including:

  • plan;
  • price;
  • billing frequency;
  • automatic-renewal terms;
  • cancellation method; and
  • applicable refund information.

9.4 Cancellation

You may cancel a paid membership online through the Membership & Billing area of your NotaryOT account and the applicable billing-management portal.

Cancellation does not require a telephone call.

Unless otherwise required by applicable law or expressly stated in a particular offer, cancellation:

  • stops future renewals; but
  • does not retroactively refund membership charges already incurred.

9.5 Membership Reminders and Renewal Notices

For an active automatically renewing membership, NotaryOT will send a membership reminder at least once during each 12-month period describing:

  • the applicable subscription price or charge frequency; and
  • how to cancel.

For an annual membership, NotaryOT will also provide an advance renewal notice generally between 15 and 45 days before renewal.

If NotaryOT makes a material change to membership terms that requires advance notice or renewed consent under applicable law, NotaryOT will provide that notice or obtain the required consent before the change becomes effective.

9.6 14-Day Annual Membership Guarantee

If you purchase an annual NotaryOT membership for the first time, you may request cancellation and a refund within 14 calendar days after the initial annual charge.

This guarantee:

  • applies only to the first annual membership purchase;
  • does not apply to monthly membership charges;
  • does not apply to annual renewals;
  • does not apply to later annual purchases;
  • is refunded to the original payment method; and
  • will not exceed the amount actually paid.

Nothing in this policy limits any right or remedy that applicable law does not permit to be waived.

9.7 Claimed Profile After Membership Cancellation

Canceling a paid membership does not, by itself, require deletion of a free claimed profile.

Subject to eligibility, commission-status, security, fraud, legal, and marketplace-integrity requirements, a former paid member may continue to maintain any free claimed-profile features then offered by NotaryOT.

NotaryOT will not delete a free claimed profile solely because the profile holder has been inactive or has not recently logged in.

Nothing in this Section prevents NotaryOT from:

  • removing content at the profile holder's request;
  • suppressing a profile where commission or eligibility information is materially

inaccurate;

  • addressing fraud or impersonation;
  • complying with law;
  • enforcing these Terms; or
  • discontinuing a feature or the free claimed-profile product generally on reasonable

notice.

9.8 Profile Data Export

Where NotaryOT provides account or profile export functionality, a member canceling a paid membership may request or download the available export before account deletion.

The available export may include information associated with the person's account or claimed profile, subject to:

  • identity verification;
  • security;
  • technical limitations;
  • legal retention requirements; and
  • the rights and privacy of other persons.

Canceling a paid membership does not erase transaction or other records that NotaryOT is lawfully entitled or required to retain.

9.9 No Competitor Advertising Within the Main Claimed-Profile Presentation

For a claimed NotaryOT profile maintained in good standing, NotaryOT will not place paid advertising for:

  • a competing individual Notary; or
  • a competing notary marketplace

directly within the primary claimed-profile presentation in a manner reasonably likely to imply that the competing service forms part of or is endorsed by the profile holder.

This commitment does not prohibit:

  • ordinary NotaryOT navigation;
  • general directory or search results;
  • other Notary profiles shown outside the main claimed-profile presentation;
  • advertising outside the primary claimed-profile presentation;
  • contextual NotaryOT product promotion;
  • required notices; or
  • content necessary to operate the marketplace.

9.10 Notary Provider Services

A member who accepts appointments or provides notarial services through NotaryOT may also be required to accept a separate Notary Provider Agreement governing provider-specific duties, marketplace economics, and marketplace participation.

The Provider Agreement does not alter the Notary's independent responsibility for complying with applicable notarial law.

10. PUBLIC NOTARY DIRECTORY

NotaryOT operates a public directory that may contain information obtained from official records published or otherwise lawfully made available by state authorities, including Secretaries of State and similar government agencies.

10.1 Government-Source Information

Where reasonably practicable, directory pages identify the government or public source from which commission information was obtained and may identify the date on which the source record was retrieved, synchronized, or checked.

Government-source information may include items such as:

  • Notary name;
  • commission number;
  • commissioning jurisdiction;
  • county or locality;
  • commission status;
  • commission expiration date; and
  • other information lawfully available from the applicable source.

NotaryOT does not claim ownership over underlying government records merely because those records are displayed through NotaryOT.

10.2 Source Data and Claimed-Profile Data Are Different

Information obtained from a government source is maintained conceptually and operationally separately from information submitted or claimed by a Notary through NotaryOT.

Claimed-profile information may include:

  • service areas;
  • languages;
  • mobile-service availability;
  • online-service availability;
  • business information;
  • photographs;
  • biography;
  • service descriptions;
  • hours;
  • pricing information; and
  • other information supplied by or on behalf of the profile holder.

Where government-source and profile-submitted information differ, NotaryOT may display both rather than treating profile-submitted information as an alteration of the underlying government record.

10.3 No Government Endorsement

No Secretary of State, commissioning authority, or other government agency endorses NotaryOT merely because public records from that authority appear in the directory.

A Notary's presence in the directory does not imply:

  • endorsement of NotaryOT by the Notary;
  • endorsement of the Notary by NotaryOT unless expressly stated;
  • affiliation between NotaryOT and the government authority; or
  • recommendation by any government agency.

10.4 Badges and Verification

A NotaryOT badge or status label represents only the particular checks that NotaryOT expressly says it performed.

NotaryOT will not represent a profile as:

  • “Verified”;
  • “OT Verified”; or
  • an equivalent verification claim

unless NotaryOT has actually performed the verification represented by that label.

A state-source commission status is not automatically equivalent to a broader NotaryOT identity, business, service-quality, background, or professional verification.

10.5 Accuracy, Correction, Suppression, and Removal

Government records and commission information may change between source updates.

NotaryOT does not guarantee that every government-source record reflects a government change immediately after the underlying agency makes it.

If you believe directory information about you is inaccurate, or you wish to request correction, suppression, or removal of a directory listing, contact:

legal@notaryot.com

You do not need to create or claim a NotaryOT account solely to submit such a request.

NotaryOT will ordinarily acknowledge receipt within five business days.

An acknowledgment does not mean the requested change has been approved.

We may need additional information to:

  • identify the affected record;
  • verify authority to make the request;
  • compare the request with the government source;
  • investigate conflicting information; or
  • determine what action is appropriate under applicable law and our directory

practices.

NotaryOT will process substantiated requests within a reasonable period based on the nature of the request, the applicable source, and applicable law.

11. NOTARY EDUCATION

NotaryOT may provide:

  • notary education;
  • exam preparation;
  • informational materials;
  • practice tools; or
  • other educational products.

Educational content is not legal advice.

11.1 California Qualifying Education — Approval Pending As of the Effective Date of these Terms:

California Notary Education — Approval Pending

NotaryOT has submitted its California notary education course for Secretary of State approval. The course is not currently available for enrollment or purchase and is not presently represented as satisfying California's mandatory education requirement.

You may be able to join a waitlist for availability updates.

Joining a waitlist:

  • does not enroll you in the qualifying course;
  • does not constitute payment of tuition;
  • does not constitute completion of required Notary education;
  • does not mean NotaryOT is presently an approved provider for that course; and
  • does not represent or guarantee that government approval will be granted.

NotaryOT will update course descriptions and applicable terms if and when an approval becomes effective.

12. ONLINE AND REMOTE NOTARIZATION

Where available and legally permitted, NotaryOT may facilitate access to online or remote notarization services.

NotaryOT does not itself perform the remote or online notarial act.

A remote or online notarization is performed by the commissioned Notary in accordance with:

  • the law governing that Notary's commission;
  • the applicable online-notarization requirements;
  • applicable identity-verification requirements;
  • applicable platform requirements; and
  • the particular transaction.

Where an online notarization is performed by a Notary commissioned in a state other than California:

  • the Notary acts under the authority of the Notary's commissioning jurisdiction;
  • NotaryOT may identify the Notary's commissioning jurisdiction during the booking

or service process; and

  • NotaryOT does not represent that out-of-state Notary as a

California-commissioned online Notary.

Availability of online notarization can depend on:

  • commissioning jurisdiction;
  • signer location;
  • document type;
  • transaction type;
  • recipient requirements;
  • destination jurisdiction;
  • applicable law; and
  • provider availability.

The availability of an online-booking option does not guarantee that:

  • a particular document is eligible for remote notarization;
  • a particular signer qualifies;
  • a particular recipient will accept the resulting notarization; or
  • a particular jurisdiction will recognize the transaction for the user's intended

purpose.

13. NON-ENGLISH NOTARY-SERVICE INFORMATION

Where required by applicable law, NotaryOT may display:

  • statutory disclosures;
  • fee information;
  • non-attorney notices;
  • translated warnings; or
  • similar notices

in connection with Notary-service advertising or profiles presented in a language other than English.

NotaryOT and participating Notaries may not use terminology that applicable law prohibits or that falsely implies that a Notary:

  • is an attorney;
  • has immigration-law authority;
  • has government authority the Notary does not possess; or
  • may give legal advice when the Notary is not legally authorized to do so.

Notaries may not use NotaryOT to offer unauthorized legal or immigration services.

For California Notaries, NotaryOT may prohibit terminology including “notario” or “notario publico” and may display applicable bilingual non-attorney notices and fee disclosures.

14. ACCEPTABLE USE

You may not use the Services to:

  • arrange, request, encourage, or attempt an unlawful notarization;
  • pressure or induce a Notary to perform an act the Notary has determined should

be refused;

  • provide materially false information;
  • impersonate another person;
  • present identification that is not yours or that you are not lawfully entitled to use;
  • obtain unauthorized access to another person's account, booking, or personal

information;

  • misuse another person's booking link;
  • scrape, harvest, systematically download, or bulk-copy the directory or Services

except as expressly authorized by NotaryOT or applicable law;

  • use directory information to send unsolicited commercial messages;
  • interfere with or disrupt the Services;
  • probe, scan, circumvent, or defeat security controls;
  • upload malware or malicious code;
  • use the Services for fraud or unlawful conduct;
  • ask a Notary acting as a Notary to select legal documents or certificates where

doing so would constitute unauthorized practice of law;

  • seek unauthorized immigration or legal advice through the Services; or
  • use the Services in a manner that infringes another person's rights.

We may restrict, suspend, or terminate access to the Services where reasonably necessary to:

  • enforce these Terms;
  • protect users or Notaries;
  • comply with law;
  • protect the integrity of the marketplace;
  • address fraud, security, or abuse; or
  • prevent material harm.

15. INTELLECTUAL PROPERTY AND USER CONTENT

The NotaryOT platform, including its:

  • software;
  • branding;
  • original text;
  • design;
  • graphics;
  • organization; and
  • proprietary materials,

is owned by or licensed to Atanium Corporation and protected by applicable intellectual-property law.

Government-source public records are not claimed by Atanium as proprietary works merely because they are displayed through NotaryOT.

15.1 Content You Submit

You retain whatever ownership rights you lawfully possess in content you submit to NotaryOT, including:

  • profile descriptions;
  • business information;
  • photographs;
  • logos;
  • reviews; and
  • other user-submitted materials.

By submitting content, you grant Atanium Corporation a nonexclusive, worldwide, royalty-free license to:

  • host;
  • store;
  • reproduce;
  • format;
  • display;
  • distribute; and
  • use

that content as reasonably necessary to:

  • operate the Services;
  • display and promote your NotaryOT profile or listing where applicable;
  • provide marketplace functionality;
  • communicate with users;
  • moderate or secure the Services; and
  • permit our service providers to perform services on our behalf.

You represent that you have the rights and permissions necessary to provide the content and grant this license.

This license ends when the content is deleted from the Services except to the extent retention remains reasonably necessary for:

  • backups;
  • legal obligations;
  • fraud prevention;
  • dispute resolution;
  • security; or
  • records of past transactions.

16. THIRD-PARTY SERVICES

The Services may depend on or connect with third-party products and services, including:

  • payment processors;
  • communications providers;
  • hosting and infrastructure providers;
  • mapping or location services;
  • online-notarization platforms;
  • identity or security providers; and
  • partner networks.

Those third parties may have separate terms and privacy practices governing their services.

NotaryOT is not responsible for a third party's independent acts or omissions except:

  • to the extent applicable law provides otherwise; or
  • where the NotaryOT Service Guarantee expressly applies.

Nothing in this Section limits an obligation that applicable law does not permit us to disclaim.

17. PRIVACY

Our collection, use, disclosure, retention, and handling of personal information are described in the NotaryOT Privacy Policy, made available through the Services.

By using NotaryOT, you acknowledge that information will be handled in accordance with the Privacy Policy and applicable law.

The Privacy Policy is incorporated into these Terms by reference to the extent applicable to your use of the Services.

Do not use the Services if you do not agree to the applicable Privacy Policy.

18. DISCLAIMERS

Except for the express commitments stated in these Terms, including the NotaryOT Service Guarantee, and except where applicable law provides otherwise, the Services are provided:

“AS IS” AND “AS AVAILABLE.”

To the fullest extent permitted by applicable law, Atanium disclaims implied warranties, including implied warranties of:

  • merchantability;
  • fitness for a particular purpose;
  • title; and
  • noninfringement.

Without limiting the foregoing, NotaryOT does not warrant or guarantee that:

  • a particular Notary will be available at a particular time or location;
  • a requested notarial act may lawfully be performed;
  • a particular document is legally valid or legally sufficient;
  • a document is appropriate for its intended transaction;
  • a document is eligible for notarization;
  • a completed notarization will be accepted by every intended recipient;
  • a directory record will reflect a government-source update immediately;
  • the Services will operate without interruption or error at all times; or
  • a third-party service will remain continuously available.

The commissioned Notary independently determines whether the Notary may lawfully perform the requested notarial act.

The receiving party, institution, recorder, court, government authority, financial institution, title company, lender, or other recipient independently determines whether it will accept a document or notarization.

Nothing in this Section excludes or limits warranties or rights that applicable law does not permit to be disclaimed.

19. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Atanium Corporation, NotaryOT, and their officers, directors, employees, and agents will not be liable for:

  • indirect;
  • incidental;
  • special;
  • exemplary;
  • punitive; or
  • consequential damages,

or for lost profits, lost revenues, lost business opportunities, or loss of goodwill arising out of or relating to the Services.

Except for obligations expressly provided under the NotaryOT Service Guarantee, and to the fullest extent permitted by applicable law, Atanium Corporation's aggregate liability arising out of or relating to the Services during any 12-month period will not exceed the greater of:

(a) $100; or

(b) the amount you paid to NotaryOT during that 12-month period.

For a claim arising specifically from a single consumer booking, the amount paid for that booking may be relevant in applying any separate express remedy under the NotaryOT Service Guarantee.

The limitations in this Section do not apply to the extent applicable law does not permit the applicable liability to be excluded or limited, including liability for:

  • fraud;
  • willful misconduct; or
  • other conduct for which contractual limitation is prohibited.

Nothing in these Terms limits or excludes any right, remedy, or liability that applicable law does not permit to be waived, excluded, or limited.

20. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Atanium Corporation and its officers, directors, employees, and agents from third-party claims, liabilities, losses, damages, and reasonable costs arising from:

  • your unlawful or unauthorized use of the Services;
  • your material breach of these Terms;
  • content you submit where the claim results from your lack of rights in that

content;

  • fraud or intentional misconduct by you; or
  • your violation of applicable law or another person's rights.

This obligation does not apply to the extent the claim results from Atanium's own conduct for which applicable law makes Atanium responsible.

This Section does not apply where or to the extent it would be unenforceable under applicable law.

21. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles, except that this choice does not displace any mandatory:

  • consumer-protection law;
  • notarial law;
  • privacy law; or
  • other applicable law

that cannot lawfully be waived by agreement.

These Terms do not require mandatory arbitration.

21.1 Consumer Booking Disputes

For a dispute arising primarily from a consumer Notary booking, the consumer may bring the dispute in any court of competent jurisdiction that applicable law permits, including, where jurisdiction and venue otherwise exist:

  • the jurisdiction where the consumer resides;
  • the jurisdiction where the booked service was performed;
  • the jurisdiction where the booked service was scheduled to be performed; or
  • another court otherwise having lawful jurisdiction over Atanium Corporation.

Nothing in these Terms requires a consumer to litigate a booking dispute exclusively in Wyoming where applicable law permits another forum.

21.2 Membership and Other Disputes For a dispute concerning:

  • a professional Notary membership; or
  • another matter that is not primarily a consumer booking dispute,

Atanium Corporation consents to personal jurisdiction in:

  • the state courts having jurisdiction over Sheridan County, Wyoming; and
  • the United States District Court for the District of Wyoming,

where those courts otherwise possess subject-matter jurisdiction.

21.3 Small Claims and Nonwaivable Rights Nothing in these Terms:

  • prevents an eligible claim from being brought in small-claims court;
  • removes a venue that applicable law makes available and nonwaivable;
  • waives a remedy that applicable law makes nonwaivable;
  • prevents a person from submitting a complaint to a government agency; or
  • requires either party to arbitrate.

21.4 Informal Resolution

Before filing ordinary civil litigation, you and Atanium are encouraged, but are not required unless applicable law provides otherwise, to attempt in good faith to resolve the matter.

A notice may describe:

  • the nature of the dispute;
  • relevant booking or account information;
  • the requested resolution; and
  • reasonable supporting information.

22. CHANGES TO THESE TERMS

We may update these Terms from time to time.

If we make a material change, we will provide notice as required by applicable law.

Notice may include:

  • a notice through the Services;
  • email;
  • an account notice; or
  • another appropriate method.

The “Last Updated” date at the beginning of these Terms identifies the most recent revision.

Unless applicable law or a separate accepted agreement provides otherwise, a material amendment will not retroactively change:

  • the price; or
  • contractual terms

of a booking already completed before the amendment became effective.

A new marketplace economic term will not retroactively change a booking already accepted by a participating Notary.

If a change affects an automatically renewing membership in a manner requiring advance notice or renewed consent under applicable law, NotaryOT will provide that notice or obtain that consent before the change becomes effective.

23. SUSPENSION AND TERMINATION

You may stop using NotaryOT at any time.

You may cancel an automatically renewing membership as described in Section 9.

We may suspend, restrict, or terminate your access to all or part of the Services where reasonably necessary because:

  • you materially violate these Terms;
  • your use creates a fraud, safety, legal, or security risk;
  • you misuse another person's information;
  • you misuse the public directory;
  • payment is materially delinquent or fraudulent;
  • continued provision of the Services would violate law;
  • a third-party service required to provide the Services becomes unavailable;
  • you materially misrepresent your identity or eligibility; or
  • we discontinue the applicable Service.

Where reasonably practicable and appropriate, we may provide notice before termination.

Termination does not eliminate rights or obligations that arose before termination.

Sections that by their nature should survive termination—including:

  • payment obligations;
  • intellectual-property provisions;
  • privacy/confidentiality obligations;
  • disclaimers;
  • limitations of liability;
  • indemnification;
  • dispute provisions; and
  • applicable records obligations

will survive.

24. GENERAL TERMS

24.1 Entire Agreement These Terms, together with:

  • the Privacy Policy;
  • booking disclosures;
  • applicable membership terms;
  • applicable promotional terms;
  • transaction-specific terms expressly accepted by you; and
  • other policies or agreements expressly incorporated into these Terms,

constitute the agreement between you and Atanium concerning the applicable Services.

A Notary participating as a provider may also be subject to a separate Notary Provider Agreement.

24.2 Order of Terms

If there is a direct conflict between these Terms and transaction-specific terms expressly presented to and accepted by you, the transaction-specific terms control with respect to that transaction.

A separate Notary Provider Agreement controls the provider-side marketplace relationship to the extent it conflicts with these consumer/general Terms regarding provider economics or provider obligations.

24.3 Severability

If a provision of these Terms is determined to be unlawful or unenforceable, the provision will be enforced to the maximum extent legally permitted and the remaining provisions will remain in effect.

24.4 No Waiver

A failure by Atanium to enforce a provision of these Terms does not waive our right to enforce that provision later.

24.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without Atanium's prior written consent.

Atanium may assign these Terms in connection with:

  • a merger;
  • acquisition;
  • reorganization;
  • financing;
  • sale of substantially all relevant assets; or
  • another lawful corporate transaction.

Nothing in this provision eliminates rights applicable law gives you in connection with such a transaction.

24.6 No Government Affiliation

Atanium Corporation and NotaryOT are private entities.

NotaryOT is not:

  • a Secretary of State;
  • a commissioning authority;
  • a government agency; or
  • government-endorsed merely because NotaryOT displays public government

records or information concerning notarial law.

24.7 Headings

Section titles and headings are provided for convenience and do not alter the meaning of these Terms.

24.8 Electronic Communications

You consent to receive transaction-related communications electronically at the contact information associated with your account or transaction.

These communications may include:

  • booking confirmations;
  • receipts;
  • account-access codes;
  • security notices;
  • appointment updates;
  • membership notices;
  • renewal notices;
  • service updates;
  • privacy or legal notices; and
  • other communications reasonably required to administer the Services.

Marketing communications, where any are sent, are handled separately in accordance with applicable law and your applicable preferences.

24.9 No Third-Party Beneficiaries

Except where these Terms expressly provide otherwise, these Terms do not create enforceable rights in a person who is not a party to the applicable agreement.

24.10 Force Majeure

To the extent permitted by applicable law, Atanium is not responsible for delay or failure caused by events beyond its reasonable control, including:

  • natural disasters;
  • severe weather;
  • utility failure;
  • widespread Internet or telecommunications outage;
  • government action;
  • civil emergency;
  • labor disruption;
  • failure of critical third-party infrastructure; or
  • similar circumstances.

This provision does not eliminate refund or other obligations expressly provided elsewhere in these Terms.
